Terms of Service

By accessing or using the LocalAIHub platform (localaihub.ca), including our AI automation services, business directory, voice AI agent, and any related tools or features (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you are entering into these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

LocalAIHub provides AI-powered business automation services to Canadian small and medium-sized businesses, including but not limited to:

AI Content Engine: Automated content creation, social media management, and brand voice AI across multiple platforms.

SEO Domination: Search engine optimisation, keyword tracking, Google Business Profile management, and local citation building.

Full Growth Partner: Comprehensive digital marketing including content, SEO, lead generation, video production, and analytics.

Enterprise AI Solutions: Custom AI agent development, API integrations, workflow automation, and dedicated support.

Business Directory: A curated directory of Canadian businesses with AI-enhanced search, reviews, and business profiles.

Voice AI Agent (GLORVIS): An AI-powered voice assistant that can answer questions, provide service recommendations, and facilitate bookings.

Service availability, features, and pricing may change. We will provide reasonable notice of any material changes to subscribed services.

Subscription Services: Paid services are billed on a monthly recurring basis. Prices are in Canadian Dollars (CAD) unless otherwise stated. All prices exclude applicable taxes (GST/HST).

Setup Fees: Certain service tiers include one-time setup fees as outlined in your service agreement. Setup fees are non-refundable once onboarding has commenced.

Payment Processing: Payments are processed securely through Stripe. By providing payment information, you authorise us to charge the applicable fees to your payment method.

Late Payments: Invoices not paid within 15 days of the due date may incur a late fee of 1.5% per month. Services may be suspended after 30 days of non-payment.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.

Refund Policy: If you are dissatisfied with our services within the first 30 days, contact us for a pro-rated refund of unused service days. After 30 days, no refunds are available for subscription fees.

Our Content: The LocalAIHub platform, including its design, code, AI models, algorithms, documentation, and branding, is owned by LocalAIHub Inc. and protected by Canadian and international intellectual property laws.

Your Content: You retain ownership of all content you provide to us (business information, brand assets, source materials). By submitting content, you grant us a non-exclusive, worldwide licence to use, process, and display that content solely for the purpose of delivering the Services.

AI-Generated Content: Content generated by our AI tools on your behalf is owned by you upon payment. You receive a perpetual, non-exclusive licence to use all deliverables for any lawful purpose.

Directory Listings: Publicly available business information in our directory is sourced from public records and may be used in accordance with applicable laws. Enhanced listings and premium content are subject to the directory terms.

Feedback: Any suggestions, ideas, or feedback you provide about our Services may be used by us without obligation or compensation to you.

You agree not to use the Services to:

Generate content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

Attempt to gain unauthorised access to our systems, other users' accounts, or any connected networks.

Use automated means (bots, scrapers, etc.) to access the Services beyond the APIs we provide.

Interfere with or disrupt the integrity or performance of the Services.

Use our AI tools to generate misleading information, deepfakes, or content intended to deceive.

Violate any applicable local, provincial, national, or international law or regulation.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

Service Availability: We strive for 99.9% uptime but do not guarantee uninterrupted access. The Services are provided "as is" and "as available" without warranties of any kind, either express or implied.

AI Accuracy: While our AI tools are designed to produce high-quality outputs, AI-generated content may contain errors. You are responsible for reviewing and approving all content before publication.

Maximum Liability: To the maximum extent permitted by law, LocalAIHub's total liability to you for any claims arising from or related to the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.

Exclusions: We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, regardless of the theory of liability.

Force Majeure: We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, internet outages, or government actions.

Content Delivery: AI-generated content is typically delivered within 24-48 hours of request. Bulk content orders (100+ pieces) may require up to 5 business days.

Support Response: We aim to respond to support inquiries within 4 business hours during standard business hours (9 AM - 6 PM EST, Monday - Friday).

Quality Standards: All content undergoes automated quality scoring (100-point scale). Content scoring below 70/100 is flagged for review before delivery.

Data Protection: We implement enterprise-grade security measures as outlined in our Privacy Policy. In the event of a data breach affecting your personal information, we will notify you within 72 hours as required by PIPEDA.

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Informal Resolution: Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@localaihub.ca. We will attempt to resolve disputes within 30 business days.

Arbitration: Any disputes that cannot be resolved informally shall be submitted to binding arbitration in Calgary, Alberta, administered by the ADR Institute of Canada under its Arbitration Rules.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative proceeding.

Limitation Period: Any claim arising from or related to these Terms must be brought within one (1) year after the cause of action accrues.
